Thank you for using Nivaasi (the "Service"), a SaaS platform provided by Proin Technologies Private Limited ("we", "us", "Company"). By accessing or using the Service via www.nivaasi.com (the "Site"), you agree to these Terms & Conditions ("Terms"). If you do not agree, do not access or use the Service.
1. Changes to Terms
We may update or revise these Terms at our discretion. Continued use after changes are posted constitutes acceptance of the updated Terms. We will try to notify users of material changes.
2. Eligibility
Use of the Site and Service is available only to persons who can legally enter into binding contracts. Users under 18 or otherwise unable to enter contracts are not eligible. We may suspend or terminate accounts that we believe violate eligibility requirements.
3. Account & Membership
You may use the Service as a guest or register an account. When registering you must provide accurate, current information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Electronic Communications
By using the Service you agree to receive electronic communications from us (email, SMS, in-app). These communications satisfy any legal requirement for written notice.
5. Reviews, Feedback & Submissions
Any reviews, feedback, suggestions, or other submissions you provide to Nivaasi (collectively "Submissions") may be used by us without obligation, compensation or confidentiality. By submitting, you assign all rights in the Submission to the Company and warrant you have the right to do so.
6. Accuracy of Information
We strive for accuracy in content and pricing on the Site. However, errors may occur. If a product or service is listed with incorrect information or price, we may refuse or cancel orders or bookings unless the service has already been provided.
7. Service Description & Pricing
Nivaasi is a software subscription service for PG/hostel owners to manage tenants and payments. Our pricing and plan details are displayed on the Site. Prices are shown in Indian Rupees (INR). Subscription billing cycles, renewal, and any taxes or fees are presented at checkout.
8. Payments, Refunds & Cancellation
- Payments must be made using the accepted payment methods shown during checkout.
- Because Service access is granted immediately after payment, refunds are generally not provided after activation.
- Customers may request cancellation only within 1–3 days from subscription activation. Cancellation requests made within this window will be considered; requests after 3 days will not be accepted. See our Cancellation Policy for details.
- Exceptional refunds (e.g., duplicate payment or failed activation) may be considered after verification by our billing team.
9. User Conduct
You agree not to (a) use the Service for unlawful purposes; (b) interfere with the Service or its security; (c) upload malware; or (d) attempt to access other accounts or systems without authorization.
10. Intellectual Property
All content, trademarks, logos, software and other materials on the Site are owned by or licensed to Proin Technologies Private Limited. You may use the Service under a limited license; you may not copy, distribute, modify or create derivative works without prior written permission.
11. Third-Party Services
The Service may integrate with third-party payment gateways, analytics, or other providers. Your use of such third-party services is subject to their terms and privacy policies. We are not responsible for third-party practices.
12. Disclaimers & Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. PROIN TECHNOLOGIES PRIVATE LIMITED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOSS OF PROFITS, DATA OR REVENUE ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY IS LIMITED TO THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold Proin Technologies Private Limited and its officers, directors and employees harmless from any claim, loss, liability, expense (including legal fees) arising out of your breach of these Terms or your use of the Service.
14. Termination
We may suspend or terminate your access for violation of these Terms or for any reason. On termination, your right to use the Service ends; provisions intended to survive termination (e.g., IP, disclaimers, limitations) will continue.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, unless otherwise required by law.
16. Changes to the Service
We may modify, suspend, or discontinue the Service (or part of it) temporarily or permanently with or without notice.
